By accessing or using ChatPanda (the "Service"), operated by Newark Studio, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms apply to all users including account holders, agents, and end-user visitors who interact through the chat widget.

ChatPanda is a customer support platform that provides live chat, AI-powered chatbot, multi-channel messaging (WhatsApp, Telegram, web widget), analytics, and knowledge base tools for businesses.

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must be at least 16 years old to use the Service
• One person or entity may not maintain more than one free account
• You are responsible for all activity that occurs under your account

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Send spam, unsolicited messages, or bulk communications
• Distribute malware, viruses, or harmful code
• Impersonate another person or entity
• Harass, abuse, or threaten others
• Attempt to gain unauthorized access to other accounts or systems
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service for any illegal or unauthorized purpose

5.1 Plans

The Service is offered in Free, Pro, Business, and Enterprise tiers. Plan details, features, and limits are described on our pricing page and may be updated from time to time.

5.2 Payment

Paid plans are billed monthly or annually in advance. All fees are non-refundable except as expressly stated. Prices are in USD and exclude applicable taxes.

5.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Your data will remain accessible for 30 days after cancellation, after which it will be permanently deleted.

5.4 Free Tier

The free tier is available indefinitely with usage limits. We reserve the right to modify free tier limits with 30 days' notice.

The Service, including its original content, features, and functionality, is owned by Newark Studio and is protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of all data and content you submit to the Service. By using the Service, you grant us a limited license to process your content solely for the purpose of providing the Service.

Your use of the Service is also governed by our Privacy Policy. You are responsible for ensuring that your use of the Service complies with applicable data protection laws, including GDPR and CCPA, particularly with respect to your end users' data.

The Service includes AI-powered features (chatbot, auto-replies, intent recognition). While we strive for accuracy, AI responses are generated automatically and may occasionally be incorrect or incomplete. You are responsible for reviewing and configuring AI behavior for your use case.

For self-hosted deployments, AI processing occurs entirely on your infrastructure.

We target 99.9% uptime for paid plans. Scheduled maintenance windows will be communicated in advance. The SLA does not apply to the free tier. Detailed SLA terms for Enterprise customers are defined in separate agreements.

To the maximum extent permitted by applicable law, Newark Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amounts you paid to us in the twelve (12) months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

You agree to indemnify and hold harmless Newark Studio, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before they take effect. Your continued use of the Service after changes constitutes acceptance.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
